  1. Choose the type of company: You first need to decide on the type of company, such as a Limited Liability Company (LLC), C Corporation, or S Corporation. Each type of company has specific tax implications and operational requirements.
  2. Select a company name: Your company’s name must be unique in California and not cause confusion with existing company names. You can check the availability of a name through the California Secretary of State website.
  3. Designate a registered agent: California law requires all companies registered in California to have a registered agent to receive legal documents and official notices. The registered agent can be an individual or a company.
  4. Submit organizational documents: Depending on your chosen type of company, you need to submit the appropriate organizational documents to the California Secretary of State, such as the Articles of Organization for an LLC or the Articles of Incorporation for a corporation.
  5. Pay the fees: When submitting the organizational documents, you need to pay a registration fee. The fee varies depending on the type of company and specific services.
  6. Comply with other state government requirements: After registering the company, you may need to apply for a business license, register with the state tax authority, and comply with specific local government regulations.
  7. Continue to comply with legal requirements: After registering your company, you need to regularly submit annual reports to the California Secretary of State and maintain updated tax and legal records.

  • EIN application alone for C Corporations is available for a fee of USD 100.00
  • C Corporations registered in California start with a standard share capital of 1,000,000 shares. The registration process includes the initial submission of articles of incorporation to the California Secretary of State, and the first report fee is included in the costs. This report
  • must detail essential company information including the list of shareholders, board members, and registered address, ensuring compliance with state regulations (fees included)
  • Annual review for C Corporation – Annual review with a late fee starting from USD $250, proxy service available for annual review
  • Annual review for LLC (Limited Liability Company) – Biennial review, late fees start from USD $250, proxy service available for annual review

  1. Change of Directors/Registered Agent/Registration – $125, can be changed during review
  2. Reinstatement – $300 initial payment for state government inquiry about overdue annual review, state tax, and penalties. Pay the balance of $300 after confirmation that the outstanding amounts are acceptable
  3. Dissolution – $200. It is advisable to handle annual reviews, file taxes, and settle state taxes before dissolution. Otherwise, even if the dissolution is successful, you may still owe the tax authority, which may lead to notices requiring back filing and payment. Fees for annual review and tax filing are additional.
