- Select a company name: Your company’s name must be unique in California and not cause confusion with existing company names. You can check the availability of a name through the California Secretary of State website.
- Designate a registered agent: California law requires all companies registered in California to have a registered agent to receive legal documents and official notices. The registered agent can be an individual or a company.
- Submit organizational documents: Depending on your chosen type of company, you need to submit the appropriate organizational documents to the California Secretary of State, such as the Articles of Organization for an LLC or the Articles of Incorporation for a corporation.
- Pay the fees: When submitting the organizational documents, you need to pay a registration fee. The fee varies depending on the type of company and specific services.

- Annual review for C Corporation – Annual review with a late fee starting from USD $250, proxy service available for annual review

- Change of Directors/Registered Agent/Registration – $125, can be changed during review
- Reinstatement – $300 initial payment for state government inquiry about overdue annual review, state tax, and penalties. Pay the balance of $300 after confirmation that the outstanding amounts are acceptable
- Dissolution – $200. It is advisable to handle annual reviews, file taxes, and settle state taxes before dissolution. Otherwise, even if the dissolution is successful, you may still owe the tax authority, which may lead to notices requiring back filing and payment. Fees for annual review and tax filing are additional.
