Important Notes:

• All corporate registration services include an EIN tax number application, with no additional fees required
• EIN application for C Corporation alone is available for a fee of $100.00
• C Corporation Registration – Standard share capital of 1,500 shares (lowest subsequent annual review and dissolution fees), capital under $75,000 (lowest registration fees)
• C Corporation Annual Review – “Additional franchise tax applies for share capital over 5,000 shares. Late fees start from USD $200, and the registered agent must be updated during annual review.”
• Change of Registered Agent – Delaware mandates the purchase of a business registration agent, includes official fee for business agent maintenance, external transfer, does not include annual review fee.
• Change of Registered Address – “Change of registered agent’s address”
• Change of Company Name – Requires customer signature

2. Change of Mailing/Physical Address – Starts at $325.00/$150.00 (in Delaware, the physical address cannot be changed during annual review, and the mailing address is not recorded by the government and cannot be officially changed. C Corporation physical address can be changed during annual review for $325 or amended annual report for $150, including government fees. LLCs cannot change physical address, only through internal documents)
3. Change of Directors – Starts at $325.00/$150.00 (Delaware C Corporation director changes must be made during annual review; companies that have not completed their first annual review must wait to change directors; Delaware LLC member changes can only be made through internal documents)
4. Reinstatement – Starts at $989.00 (initial payment of $300 to the state government for inquiry about past due annual reviews, state taxes, and penalties. After confirming the outstanding amounts are acceptable, pay the remaining $300 to settle all owed taxes and penalties, then submit the reinstatement form)
5. Dissolution – $424 long form/$210 short form, “Annual review must be completed for the current year, fees for minimal annual review apply if the share capital is under 1,500 shares. Use the short form for dissolution if applicable. As of 8/1/2023, government fees increased by $20, making the dissolution fee for C Corporation $424 and for LLC $420.”
